Terms of Service

AI Sandbox provisions on-demand GPU compute sandboxes across multiple third-party cloud providers ("Providers"), and offers an option to connect your own cloud account ("Bring Your Own Cloud" / "BYOC") so sandboxes launch directly into infrastructure you control and bill on your own account instead.

The Service is provided on an early-access / pilot basis. Features, pricing, and availability may change, and the Service may experience downtime or interruptions without notice during this period.

You must provide accurate registration information and are responsible for safeguarding your account credentials and any activity that occurs under your account. Notify us promptly at support@nuovoforte.com if you suspect unauthorized access.

Sandboxes launched on platform-managed compute are billed according to the rates published on the Pricing page at the time of launch, and may include a platform margin over the underlying Provider's cost. New accounts may receive free introductory credit; usage beyond that credit is billed to the payment method on file, where applicable.

For BYOC connections, compute costs are billed directly to your own cloud account by the underlying Provider (e.g. AWS) — NuovoForte does not charge for the compute itself in that case, though a separate platform fee may apply as described at signup or in your organization's agreement.

Prices are subject to change. Where the Service displays a rate before you launch, the rate that actually applies is the one in effect at launch time, not necessarily the rate you last saw — see any price-change notice shown in the product.

You agree not to use the Service to:

• Violate any applicable law, or the acceptable-use policy of any underlying Provider;
• Mine cryptocurrency in a manner that violates a Provider's own terms;
• Train, host, or distribute models or content whose primary purpose is to generate child sexual abuse material, facilitate violence, or violate another person's rights;
• Attempt to circumvent quota, billing, or abuse-prevention controls; or
• Interfere with or disrupt the integrity or performance of the Service or its Providers.

We may suspend or terminate access for a violation of this section, with or without notice.

You retain all rights to the code, models, datasets, and other content you run or store on the Service ("Your Content"). We do not claim ownership of Your Content and do not access it except: (a) as needed to operate the Service (e.g. provisioning, metering, support you request), (b) to investigate a suspected violation of these Terms, or (c) as required by law.

Persistent storage (Volumes) is only ever mounted to a sandbox at launch time. You are responsible for your own backups; NuovoForte is not liable for data loss from a Provider outage, a deleted volume, or similar.

The Service brokers compute from independent third-party Providers (including but not limited to RunPod, Vast.ai, Lambda Cloud, Shadeform, and AWS). Each Provider has its own terms and acceptable-use policy, which also apply to your use of compute running on that Provider. NuovoForte is not responsible for a Provider's outages, data handling, or policy changes, though we work to route around known Provider-side issues where possible.

The Service, including its software, design, and documentation (but excluding Your Content), is owned by NuovoForte and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; nothing here transfers any other intellectual property right to you.

THE SERVICE IS PROVIDED "AS IS" DURING THIS EARLY-ACCESS/PILOT PERIOD, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY GPU CAPACITY WILL BE AVAILABLE FROM ANY GIVEN PROVIDER AT ANY GIVEN TIME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUOVOFORTE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO NUOVOFORTE IN THE THREE MONTHS PRECEDING THE CLAIM.

You may stop using the Service and request account deletion at any time by contacting support@nuovoforte.com. We may suspend or terminate your access for a violation of these Terms, non-payment, or if required by a Provider or by law. Sections that by their nature should survive termination (e.g. Sections 7–9) will survive.

We may update these Terms from time to time. Material changes will be reflected in a new version (shown above) and, where practical, notified to active accounts. Continued use of the Service after a change constitutes acceptance of the updated Terms.
